Principal-agent problem
The principal-agent problem occurs when those managing a business (agents/managers) have different objectives from those who own it (principals/shareholders). Managers may pursue objectives such as growth, power, and job security rather than profit maximisation, whilst shareholders seek maximum returns on investment.
Real World
In 2015, Volkswagen managers concealed emissions-cheating software from shareholders to hit sales targets, destroying €30 billion in shareholder value when the scandal broke — a textbook principal-agent failure.
